Terms of Use

A. Eligibility and Account Requirements

To access PrimeAxis services, you must: (i) be at least 18 years of age; (ii) be a legal resident or citizen of the United States; (iii) reside in a state where our services are currently offered; (iv) have the legal capacity to enter into a binding contract; and (v) not be prohibited by any applicable law from receiving or using financial services.

Corporate entities, trusts, and other non-individual applicants may apply for business accounts subject to additional verification requirements and eligibility review. We reserve the right to decline any application without stating a reason, subject to applicable non-discrimination law.

By creating an account, you represent and warrant that all information you provide is accurate, current, and complete. You agree to update this information promptly if it changes. Providing false or misleading information is grounds for immediate account suspension and may result in legal liability under applicable law including 18 U.S.C. 1001 (false statements to a financial institution).

B. Identity Verification Requirements

As a FinCEN-registered Money Services Business, Ethio American LLC is required by the Bank Secrecy Act (31 U.S.C. 5318(l)) and the USA PATRIOT Act to establish and maintain a Customer Identification Program (CIP). All users are required to complete identity verification before any transaction is permitted. No anonymous or pseudonymous accounts are permitted under any circumstances.

Verification requires submission of government-issued photo identification, proof of residential address, and biometric confirmation as described on our KYC Requirements page. We may also collect additional information as required by our compliance obligations or at our discretion to maintain the integrity of our platform.

We reserve the right to conduct enhanced due diligence (EDD) on any account at any time. This may involve requesting additional documentation, restricting transaction amounts, placing holds on pending transactions, or temporarily suspending account access during review. These actions are taken to fulfill our regulatory obligations and protect all users of the platform.

C. Permitted and Prohibited Uses

You may use PrimeAxis services only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

Use the platform to conduct, facilitate, or conceal any transaction involving proceeds of criminal activity, money laundering, terrorist financing, or any other illegal financial activity as defined under 18 U.S.C. 1956, 18 U.S.C. 1957, or 18 U.S.C. 2339B.

Attempt to circumvent or interfere with our AML/KYC monitoring systems, transaction screening procedures, or any security feature of the platform.

Engage in any activity that would cause us to violate our obligations under the Bank Secrecy Act, FinCEN regulations, OFAC sanctions programs, or applicable state law.

Access the platform from a jurisdiction where cryptocurrency trading is prohibited, or on behalf of a person located in a sanctioned country as designated by the US Office of Foreign Assets Control (OFAC).

Use automated scripts, bots, or other tools to access the platform in a manner that places excessive load on our systems or that is designed to manipulate market data.

Violations of these provisions may result in immediate account termination, forfeiture of pending transactions, reporting to relevant authorities, and civil or criminal liability.

D. Digital Asset Transactions and Risk

All transactions conducted through PrimeAxis are subject to real-time market pricing at the moment of execution. We do not guarantee any particular price, exchange rate, or transaction outcome. Prices displayed prior to transaction confirmation are indicative only and may change before execution is completed.

Cryptocurrency involves substantial risk of loss. Digital assets are highly volatile, not legal tender, not backed by any government, and not insured by the Federal Deposit Insurance Corporation (FDIC) or any other government deposit insurance program. The value of digital assets may decrease significantly, including to zero. You may lose some or all of the value of assets held through PrimeAxis.

You acknowledge that you have read, understood, and accepted the full risk disclosure presented on our Crypto Exchange page. You represent that any digital assets you use through PrimeAxis are owned by you free and clear of any claims, liens, or encumbrances.

Transactions are generally irreversible once confirmed on the blockchain. We are not responsible for losses arising from transactions you authorized, including transactions made in error. Error resolution is available for unauthorized transactions as described in our consumer protection procedures.

E. Fees

PrimeAxis charges fees for certain transactions and services. The applicable fee for each transaction is disclosed to you prior to your confirmation of the transaction. By confirming a transaction, you agree to pay the disclosed fee. Fees are deducted from the transaction amount or charged to your account as specified at the time of each transaction.

We reserve the right to modify our fee schedule at any time. We will provide reasonable notice of material fee changes through the platform or by email to your registered address. Continued use of the platform after a fee change takes effect constitutes your acceptance of the new fee schedule.

F. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIMEAXIS AND ETHIO AMERICAN LLC DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

IN NO EVENT SHALL ETHIO AMERICAN LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT OF FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

G. Governing Law, Dispute Resolution, and Contact

These Terms are governed by and construed in accordance with the laws of the State of California and applicable federal law, without regard to conflict of law principles. Any dispute arising from or related to these Terms or your use of PrimeAxis services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration with respect to any claim covered by this arbitration agreement. You have the right to opt out of the arbitration agreement within 30 days of first agreeing to these Terms by sending written notice to support@primeaxis.co.com.
